Mansoor Alhagbani is a Partner and Head of the Capital Markets and Regulatory practice in Riyadh.

Mansoor specialises in capital markets and regulatory and legislative drafting. Mansoor had worked for more than three years with the Saudi Capital Market Authority (CMA) where he was heavily involved in formulating and drafting various CMA rules and regulations, as well as representing the CMA before other government bodies to debate and discuss draft laws and regulations. More recently, Mansoor has been advising a number of CMA regulated entities on their compliance with CMA’s rules and regulations. Mansoor has also been advising a number of ministries and semi-government bodies (including Tadawul) to develop, formulate and draft various regulatory materials.

  • National Shipping Company of Saudi Arabia (Bahri) in relation to the proposed US$1.3 billion merger of the fleets and operations of Bahri and Vela International Marine Limited, a wholly-owned subsidiary of Saudi Aramco
  • Savola Group on its SAR5 billion Sukuk programme as well as the first tranche thereunder
  • Saudi Fransi Capital as the Lead Manager and Bookrunner on the SBG Sukuk Limited SAR1.3 billion Sukuk Al-Ijara due 2015
  • HSBC Saudi Arabia Limited on the issue by SBG Sukuk Limited of Sukuk-al-Murabaha to local investors in Saudi Arabia
  • AXA Cooperative Insurance Company on its rights issue
  • MTC-Zain in relation to its capital reduction followed by a rights issue
  • the arrangers in relation to the Saudi Telecom Company's SAR5 billion Sukuk issuance programme
  • the arrangers in relation to the issuance by The National Commercial Bank of SAR5 billion subordinated Sukuk due 2024 - with the proceeds of the issuance comprising Tier 2 capital for Saudi Arabia regulatory capital purposes
  • the arrangers in relation to the issuance by The Saudi Investment Bank of a SAR2 billion subordinated Sukuk due 2024 - with the proceeds of the issuance comprising Tier 2 capital for Saudi Arabia regulatory capital purposes.
  • the Saudi Arabian General Authority of Civil Aviation in relation to the issuance in the Kingdom of Saudi Arabia of a SAR15.2 billion (approximately US$4.1 billion) Sukuk due 2023
  • BNP Paribas Investment Company and GIB Capital LLC as joint lead managers and bookrunners on the SBG Sukuk Limited Short Term SAR1 billion (approximately US$267 million) Sukuk Al-Murabaha due July 2014
